These Terms of Use ("Terms") govern your access to and use of the Clio Circle software, including the cliocircle.com website, the web application, the "Clio – Write Better" Google Chrome extension and any other interface we make available (collectively, the "Software"). By using the Software you accept these Terms.

If you are using the Software on behalf of an organization, you represent that you have authority to bind it to these Terms.

These Terms constitute a legally binding agreement between you ("User") and Clio Circle ("we", "Clio"). By installing the extension, creating an account, or otherwise using the Software, you express your agreement with these Terms and with the Privacy Policy.

To use the Software's features you must create an account or authenticate with a supported provider (including Google Sign-In via OAuth 2.0). You are responsible for:

The Software is offered in Free, Pro, Team Starter, Team Growth and Enterprise plans. The features and limits of each plan are described at cliocircle.com/en#planes and may be updated periodically.

7. Intellectual property

The Software, including its code, design, brand, logos, content and models, is the property of Clio Circle or its licensors. We grant you a limited, non-exclusive, non-transferable and revocable license to use the Software in accordance with these Terms.

It is forbidden to copy, distribute, modify, sublicense or create derivative works of the Software without prior written authorization.

8. Third-party services

The Software integrates with third-party services (Google Workspace, Anthropic Claude, Vercel, Firebase, among others). Your use of those services is subject to their own terms. We are not responsible for outages, changes or decisions by those third parties, although we strive to minimize their impact on you.

10. Warranties and disclaimer

The Software is provided "AS IS" and "AS AVAILABLE". To the maximum extent permitted by applicable law, we disclaim all express or implied warranties, including — without limitation — warranties of merchantability, fitness for a particular purpose, non-infringement and accuracy.

We do not guarantee that the Software is error-free, uninterrupted or meets all your specific requirements.

11. Limitation of liability

To the maximum extent permitted by law, Clio Circle shall not be liable for indirect, incidental, special, consequential or punitive damages (including lost profits, data loss, lost business opportunities) arising from the use of or inability to use the Software.

Our total aggregate liability for any claim related to the Software shall not exceed the greater of (a) USD $100, or (b) the amount paid by the User to Clio Circle in the 12 months prior to the event giving rise to the claim.

12. Indemnification

You agree to indemnify and hold harmless Clio Circle, its officers, employees and affiliates from claims, damages, losses and costs (including reasonable legal fees) arising from: (i) your violation of these Terms, (ii) your misuse of the Software, (iii) your violation of third-party rights, or (iv) Content you upload to the Software.

13. Suspension and termination

We may suspend or terminate your access to the Software, in whole or in part, if:

You may terminate your use of the Software at any time by deleting your account or uninstalling the extension. Termination does not affect clauses that by their nature survive (intellectual property, disclaimer, limitation of liability, indemnification, governing law).

14. Changes to the Terms

We may update these Terms to reflect changes to the Software, regulations, or our practices. We will notify material changes through the Software or by email at least 14 days before they take effect. Continued use after the effective date constitutes acceptance.

15. Governing law and jurisdiction

These Terms are governed by the laws of the place of incorporation of Clio Circle, without prejudice to mandatory provisions of the User's jurisdiction that apply (especially consumer-protection and data-protection laws such as GDPR).

Any dispute arising from these Terms shall first be subject to a friendly resolution process for at least 30 days. Failing agreement, the parties shall submit the dispute to the competent courts of Clio Circle's place of incorporation, unless applicable law mandates another jurisdiction.
