These Terms of Use ("Terms") govern your access to and use of the Clio Circle software, including the cliocircle.com website, the web application, the "Clio – Write Better" Google Chrome extension and any other interface we make available (collectively, the "Software"). By using the Software you accept these Terms.
If you are using the Software on behalf of an organization, you represent that you have authority to bind it to these Terms.
1. Acceptance
These Terms constitute a legally binding agreement between you ("User") and Clio Circle ("we", "Clio"). By installing the extension, creating an account, or otherwise using the Software, you express your agreement with these Terms and with the Privacy Policy.
2. Eligibility
- You must be at least 18 years old, or the legal age of majority in your jurisdiction.
- If you are a minor, you may only use the Software with the express consent of your legal representative and under your Organization's supervision.
- You must not be restricted by applicable laws (international sanctions, exclusion lists) from using this Software.
3. Account and authentication
To use the Software's features you must create an account or authenticate with a supported provider (including Google Sign-In via OAuth 2.0). You are responsible for:
- The accuracy of the information you provide.
- Maintaining the security of your credentials and active session.
- All activity carried out under your account.
Notify us immediately at clio@cliocircle.com of any unauthorized use of your account.
4. Plans and subscriptions
The Software is offered in Free, Pro, Team Starter, Team Growth and Enterprise plans. The features and limits of each plan are described at cliocircle.com/en#planes and may be updated periodically.
- Free: no cost, with usage limits. No payment method required.
- Paid plans: billed monthly or annually depending on the plan. Prices are published on the site before charge.
- Cancellation: you may cancel at any time from your panel or by writing to us. Cancellation takes effect at the end of the paid billing period.
- Refunds: evaluated case by case. We do not refund partial periods already consumed unless required by applicable law.
5. Acceptable use
You agree NOT to:
- Use the Software for illegal, fraudulent, or rights-infringing activities.
- Reverse engineer, decompile or attempt to access the source code, except to the extent permitted by law.
- Use the Software to harass, intimidate or discriminate against persons (especially in the context of analyzing communication within teams).
- Impersonate others or falsify your identity or role within an Organization.
- Upload content that infringes intellectual property rights, is malicious (malware), or contains third-party data without their consent.
- Saturate the API or perform unauthorized mass scraping.
- Use the Software to make automated decisions that significantly affect persons (hiring, firing, disciplinary sanctions) without adequate human review.
6. User Content
"Content" refers to the email drafts, messages, questionnaire data, profiles and other data you or your Organization contribute to the Software.
- You retain ownership of your Content. We do not claim copyright over what you write.
- You grant us a limited, worldwide, non-exclusive license to process your Content solely for the purpose of providing the Software's features (improving emails, generating profiles, computing metrics).
- We do not use the content of your drafts or your Clio AI messages to train external AI models.
- You may request deletion of your Content at any time — see Section XV of the Privacy Policy.
7. Intellectual property
The Software, including its code, design, brand, logos, content and models, is the property of Clio Circle or its licensors. We grant you a limited, non-exclusive, non-transferable and revocable license to use the Software in accordance with these Terms.
It is forbidden to copy, distribute, modify, sublicense or create derivative works of the Software without prior written authorization.
8. Third-party services
The Software integrates with third-party services (Google Workspace, Anthropic Claude, Vercel, Firebase, among others). Your use of those services is subject to their own terms. We are not responsible for outages, changes or decisions by those third parties, although we strive to minimize their impact on you.
9. Artificial Intelligence and limitations
Clio AI's suggestions are generated by language models. These suggestions:
- Are recommendations, not final decisions. You retain full control over what to send.
- May contain errors, biases or unexpected results despite our mitigation efforts.
- Do not constitute medical, psychological, legal or financial advice. If your situation requires it, seek professional assistance.
- Should not be used as the sole basis for decisions that significantly affect employees (sanctions, firings, performance reviews) without human review.
10. Warranties and disclaimer
The Software is provided "AS IS" and "AS AVAILABLE". To the maximum extent permitted by applicable law, we disclaim all express or implied warranties, including — without limitation — warranties of merchantability, fitness for a particular purpose, non-infringement and accuracy.
We do not guarantee that the Software is error-free, uninterrupted or meets all your specific requirements.
11. Limitation of liability
To the maximum extent permitted by law, Clio Circle shall not be liable for indirect, incidental, special, consequential or punitive damages (including lost profits, data loss, lost business opportunities) arising from the use of or inability to use the Software.
Our total aggregate liability for any claim related to the Software shall not exceed the greater of (a) USD $100, or (b) the amount paid by the User to Clio Circle in the 12 months prior to the event giving rise to the claim.
12. Indemnification
You agree to indemnify and hold harmless Clio Circle, its officers, employees and affiliates from claims, damages, losses and costs (including reasonable legal fees) arising from: (i) your violation of these Terms, (ii) your misuse of the Software, (iii) your violation of third-party rights, or (iv) Content you upload to the Software.
13. Suspension and termination
We may suspend or terminate your access to the Software, in whole or in part, if:
- You violate these Terms or the Privacy Policy.
- Your use puts at risk the security, integrity or availability of the Software or other users.
- Required by legal or regulatory order.
You may terminate your use of the Software at any time by deleting your account or uninstalling the extension. Termination does not affect clauses that by their nature survive (intellectual property, disclaimer, limitation of liability, indemnification, governing law).
14. Changes to the Terms
We may update these Terms to reflect changes to the Software, regulations, or our practices. We will notify material changes through the Software or by email at least 14 days before they take effect. Continued use after the effective date constitutes acceptance.
15. Governing law and jurisdiction
These Terms are governed by the laws of the place of incorporation of Clio Circle, without prejudice to mandatory provisions of the User's jurisdiction that apply (especially consumer-protection and data-protection laws such as GDPR).
Any dispute arising from these Terms shall first be subject to a friendly resolution process for at least 30 days. Failing agreement, the parties shall submit the dispute to the competent courts of Clio Circle's place of incorporation, unless applicable law mandates another jurisdiction.
16. General provisions
- Entire agreement: these Terms together with the Privacy Policy constitute the entire agreement between the parties.
- Severability: if a provision is declared invalid, the remaining provisions shall remain in force.
- No waiver: our failure to enforce any provision does not constitute a waiver of subsequent enforcement.
- Assignment: you may not assign these Terms without our prior written consent. We may assign them in connection with a merger, acquisition or corporate restructuring.
