These Terms of Use ("Terms") govern access to and use of Clio Circle software, including cliocircle.com, configured web applications, browser extensions and other interfaces we make available (collectively, the "Software"). By using the Software you accept these Terms. If you use the Software on behalf of an organization, you represent that you have authority to bind that organization.

1. Product boundary

Clio is a Management Loop Operating System. Work Evidence may support a Possible Loop under configured rules. A human must confirm a Possible Loop before it becomes management work or activates a management intervention. Work Mode is interaction context only; it does not classify a person, create a Loop, set priority or make employment decisions. Operational closure requires the applicable Closure Evidence. KPI movement and financial value realization are tracked separately.

3. Plans, orders and billing

Available features, limits and commercial terms depend on the plan, order form or customer agreement applicable to your account. Current public pricing, where offered, is shown before purchase. Enterprise orders may be governed by a separate MSA, order form and DPA. If a customer-specific agreement conflicts with these public Terms, the customer-specific agreement controls to the extent of that conflict.

"Content" includes messages, configured Work Evidence, questionnaire responses where enabled, KPI inputs, operational records and other data you or your organization provide or authorize for use with the Software.

6. Intellectual property

The Software, brand, code, designs and Clio-authored materials are owned by Clio Circle or its licensors. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable and revocable right to use the Software for its intended purpose.

7. Third-party services

Some enabled features may interoperate with third-party identity, work-system, infrastructure, payment or model providers. Your use of third-party services may be subject to their own terms. The current provider inventory and applicable processing commitments must be verified against the enabled service and, for enterprise customers, the applicable agreement or DPA. These Terms do not make a universal claim about provider, processing region, training or retention.

8. Artificial intelligence and human judgment

AI-assisted outputs may contain errors, omissions or unexpected results. They are not final decisions and do not constitute medical, psychological, legal or financial advice. Clio's management workflow preserves human confirmation and approval gates where the product requires them. AI-assisted output must not be used to make automated employment or personnel decisions.

9. Economic estimates

Loop Leakage and other Financial Context may include measured, estimated or modeled amounts. Financial Context does not create a Management Loop and a closed Loop does not by itself prove recovered, avoided or realized value. Users are responsible for appropriate review of financial assumptions and for any decision made from an estimate.

10. Service availability and disclaimers

The Software is provided "as is" and "as available" to the maximum extent permitted by law. We do not guarantee uninterrupted operation, error-free outputs or that the Software will meet every specific requirement. Any customer-specific service levels must be stated in the applicable agreement.

11. Limitation of liability

To the maximum extent permitted by applicable law, Clio Circle will not be liable for indirect, incidental, special, consequential or punitive damages arising from use of or inability to use the Software. Any negotiated customer-specific liability terms in an MSA or order form control for that customer.

12. Indemnification

To the extent permitted by law, you agree to indemnify Clio Circle from third-party claims arising from your unlawful use of the Software, your violation of these Terms or your violation of third-party rights.

13. Suspension and termination

We may suspend or terminate access where necessary to address a material breach, security risk, legal requirement or misuse. You may stop using the Software at any time. Customer-specific termination, return and deletion obligations are governed by the applicable agreement and DPA.

14. Privacy and data processing

Our Privacy Policy describes the public privacy baseline. Enterprise processing may also be governed by a customer-specific DPA. Product pages and legal templates do not override the actual enabled service configuration or signed customer agreement.

15. Changes

We may update these Terms to reflect changes in the Software, law or our practices. Where required, material changes will be communicated before they take effect. The current version and effective date will remain available on this page.

16. Governing terms and disputes

Applicable governing law, venue and dispute-resolution terms may depend on the contracting entity and customer-specific agreement. Where no separate agreement applies, mandatory law applicable to the user remains unaffected.
